Terms of Service

Effective Date: May 26, 2025

PatchLens ("we", "us", or "our") provides a software-as-a-service (SaaS) tool for automated dependency analysis ("Service"). At present, PatchLens operates as a product name under development and is not yet incorporated; we intend to form Moduleint LLC (doing business as PatchLens) in the near future. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the PatchLens SaaS platform and APIs providing automated code-dependency analysis, test-coverage insights, and runtime diagnostics.
  • "You" or "Customer" means the individual or entity accessing or using the Service.
  • "Open Source Eligible Project" means a public repository licensed under an approved OSI license (e.g., MIT, Apache 2.0).
  • "Fees" means amounts invoiced for paid access as detailed in a separate agreement.

2. License Grants

2.1 License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for internal development and analysis purposes.

2.2 License from You

You retain all right, title, and interest in your code. By submitting or making your code available through the Service (public or private), you grant us a non-exclusive, worldwide, royalty-free license to download, clone, reproduce, modify, and analyze your code solely to provide the Service. We will not retain or redistribute or publicly disclose your private code or data, as described in our privacy policy.

3. Eligibility and Fees

3.1 Open Source Eligibility

Qualified Open Source Eligible Projects may use the Service free of charge.

3.2 Private or Non-Approved Projects

Access to private repositories, advanced features, or projects under non-approved licenses requires a paid license under a separate agreement.

3.3 Billing Terms

Unless otherwise specified, invoices are due within thirty (30) days of receipt. We reserve the right to suspend or terminate your access for late or non-payment.

4. User Responsibilities & Prohibited Uses

You agree to:

  • Submit only lawful and non-infringing code and content.
  • Be solely responsible for the security and legality of the code and data you upload.

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code or IP from the Service.
  • Use the Service to analyze malicious, infringing, or unlawful code.
  • Export or distribute controlled technology in violation of applicable laws.
  • Interfere with or disrupt the security, integrity, or performance of our systems or other users’ access.

You are solely responsible for the code and data you upload or process through the Service.

5. Service Availability & Changes

  • AS IS / AS AVAILABLE: The Service is provided explicitly "AS IS" and "AS AVAILABLE," without any warranties regarding reliability, accuracy, completeness, security, or performance.
  • Modifications: Features or plans may be modified, upgraded, or discontinued at any time, with notice via email or in-app announcement.
  • Beta & Early Access: Features marked as "beta" or "early access" may experience instability or unpredictability.

6. Intellectual Property

All rights, title, and interest in and to the Service (including code, documentation, trademarks, and designs) remain our exclusive property or that of our licensors. You may not copy, modify, distribute, or create derivative works based on the Service except as expressly permitted in these Terms.

7. Warranties & Disclaimer

PATCHLENS IS PROVIDED EXPLICITLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR RELIABLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PATCHLENS, MODULEINT LLC, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF FEES PAID TO US IN THE PRIOR TWELVE (12) MONTHS.

9. Indemnification

You agree to indemnify, defend, and hold harmless PatchLens, Moduleint LLC, and their affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, expenses, or demands (including reasonable attorneys’ fees) arising from your use of the Service, your breach of these Terms, or your infringement of third-party rights.

10. Termination & Suspension

We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms or non-payment of Fees. Upon termination, your license rights immediately cease. Sections 4–14 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Colorado, USA, without regard to conflict-of-law rules. You consent to exclusive jurisdiction and venue in state and federal courts located in Denver County, Colorado.

12. Entire Agreement; Severability

These Terms and any referenced agreements constitute the entire agreement regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to Terms

We may modify these Terms occasionally. For material changes, we will post an updated Effective Date and provide notice by email or in-app notification at least thirty (30) days prior. Continued use after the Effective Date constitutes acceptance of the revised Terms.
